What does this mean for the remainder of FY25?

Our day-to-day responsibilities remain the same, stay focused on your goals. Our purpose, vision, values and serving our customers are the same. We expect Patterson to operate the same way after the closing of the transaction. Simply put, the transaction involves a change in ownership from our public shareholders to a private investment firm.

What happens to my KSOP shares?

Since they are now an investment option within the 401k plan, they will convert to cash within the 401k plan and reinvest in the Qualified Default Investment Asset (QDIA). This is a qualified plan and the proceeds stay in the plan. These funds will be available for reinvestment within the 401k plan. This transaction is not a distribution event, please refer to the plan document to further understand distribution from the 401k. Taxes are not applicable in this conversion. In accordance to the plan document taxes apply when a distribution event takes place.

What does this mean for bonus eligible employees?

Following the completion of the transaction, Patterson will to continue in effect the awards made under the Management Incentive Compensation Plan, as well as all existing commission plans or arrangements, through the end of fiscal 2025 (plus any period that is necessary thereafter to calculate and pay amounts owed thereunder) without change.

What does this mean for the 401 k and health plans?

With respect to the 401(k), health and welfare benefit plans following the completion of the transaction (including any vacation, paid time-off and severance plans), for purposes of determining eligibility to participate, vesting, paid time off and severance and determining the level of benefit accruals, each employee’s service with Patterson prior to the completion of the transaction will still be counted as service for the company following the closing (except to the extent it would result in duplication of benefits or compensation). This service credit does not apply with respect to any defined benefit plan or retiree medical plan.
