"Humpty's Restaurants International Inc. (TSX VENTURE:HMP) (the "Corporation")
announces that it has changed its auditor effective July 31, 2008. The
Corporation has filed a Notice of Change of Auditor on SEDAR in accordance with
Part 4 of National Instrument 51-102 - Continuous Disclosure Obligations
("NI51-102"). The Notice sets out that the Corporation has changed its auditor
from Kenway Mack Slusarchuk Stewart LLP, Chartered Accountants to Hudson LLP,
Chartered Accountants.


There have been no reservations in the Corporation's auditor's reports for the
two most recent fiscal years and any period subsequent to the most recently
completed period prior to effective date of the change of auditor. Nor has there
been any reportable events, as that term is defined in NI 51-102.


Both Kenway Mack Slusarchuk Stewart LLP, Chartered Accountants and Hudson LLP,
Chartered Accountants have provided the Corporation with written confirmation of
the information contained in the Notice of Change of Auditor."
