Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 11, 2023, Irene Chang Britt resigned as a member of the Board of Directors (the “Board”) of Brighthouse Financial, Inc. (the “Company”), effective that day. Ms. Britt’s resignation was not due to any disagreement with the Company. The Board has reduced the number of directors which constitutes the Board to eight, effective as of August 14, 2023.
